1. Overview

3. Eligibility

When creating an account, you must provide accurate information and keep it current. You are responsible for all activities that occur under your account and for safeguarding your credentials. Notify us immediately of any unauthorized use or security breach.

5. Permitted Use; Prohibited Activities

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• (b) infringe the rights of others;
• (c) reverse engineer, decompile, or attempt to extract source code;
• (d) interfere with or disrupt the Services;

6. Intellectual Property; License

The Services, including all software, features, and content, are owned by Stateless Studio or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes.

7. User Content & Feedback

You retain ownership of content you submit to the Services ("User Content"). By submitting User Content, you grant Stateless Studio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, publicly display, and distribute such content solely for the purpose of operating and improving the Services. You represent that you have all rights necessary to grant this license and that your User Content complies with applicable laws.

If you submit feedback, suggestions, or ideas ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use and incorporate the Feedback without restriction or obligation to you.

8. Third-Party Services & Links

The Services may include links to third-party websites or services. We do not control and are not responsible for third-party content, products, or services. Your use of third-party services is at your own risk and may be subject to separate terms and privacy policies.

9. Fees, Billing & Taxes

Certain features may require payment. If you purchase a subscription or paid feature, you agree to pay all applicable fees and taxes and authorize us (and our payment processors) to charge your payment method. Fees are stated in U.S. dollars unless otherwise indicated and are non-refundable except as required by law or expressly stated otherwise.

10. Trials, Renewals & Cancellation

If we offer a free trial, it may convert to a paid subscription unless you cancel before the end of the trial period. Subscriptions renew automatically unless cancelled in accordance with the cancellation terms provided at purchase.

11. Changes to Services

We may modify, suspend, or discontinue all or part of the Services at any time, with or without notice. We are not liable to you or any third party for such changes.

12. Termination

We may suspend or terminate your access to the Services at any time, including if you violate these Terms. Upon termination, your right to use the Services will cease, but sections that by their nature should survive will continue to apply (e.g., intellectual property, disclaimers, limitations of liability, indemnification, and governing law).

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STATELESS STUDIO OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, FOR ACCESSING THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Stateless Studio and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Services, your violation of these Terms, or your infringement or misappropriation of any rights of a third party.

16. Compliance; Export Controls

You agree to comply with all applicable laws, including export control and sanctions laws of the United States and other jurisdictions. You may not use or access the Services if you are prohibited from doing so by applicable law.

17. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and disclose information. Please review the Privacy Policy carefully.

18. Governing Law; Venue; Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. The exclusive venue for disputes shall be the state and federal courts located in Monmouth County, New Jersey.

At our election, disputes may be resolved by binding arbitration administered by a reputable arbitration provider under its rules, conducted in Monmouth County, New Jersey, in English. YOU AND STATELESS STUDIO AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

19. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms and updating the effective date above. Your continued use of the Services after the changes become effective constitutes acceptance of the updated Terms.

21. Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and Stateless Studio concerning the Services and supersede prior or contemporaneous agreements on the subject matter.

Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Waiver

Our failure to enforce any right or provision is not a waiver of such right or provision.

Force Majeure

We will not be liable for delays or failures due to causes beyond our reasonable control, including acts of God, labor disputes, pandemics, supply chain disruptions, or failures of suppliers, subcontractors, or third-party providers.
